Expertise
EU market entry & representation
Structuring and compliance for Ukrainian companies operating in the EU.
- Entry structure: branch, BV or contract
- Entity formation and registration
- Ongoing compliance and filings
- Representation before EU institutions
- Contractual structuring
- Local counsel coordination
The question is rarely "can we enter the EU". It is which entity, which regulatory regime, and who carries the risk when the position is challenged.
We advise on the choice between a Dutch branch, a Dutch subsidiary and a cross-border contract structure, and we set up the entity that actually matches the operating reality.
We also represent Ukrainian businesses before EU institutions, where the practical obstacle is rarely the legal rule and almost always the procedure.

Should we set up a Dutch subsidiary straight away?
Not always. A branch, a BV and a contract with a local distributor produce different tax and liability outcomes, and the right answer depends on volume, hiring plans and how much control you actually need over your own operations.
How long does market entry take in practice?
The registration is the fast part. The part that takes longer is everything around it — the employment structure, the contracts, the tax position and the banking relationship, each of which has to exist before the first real transaction does.
Can you advise only on the Dutch part?
Yes. Some clients have their own counsel in other jurisdictions and want an independent Dutch view. That works well — the instruction stays clean and the advice stays focused.
