A Dutch holding structure over Ukrainian operating assets is a common architecture, and it fails in common ways — at the point of funding, at the point of governance, or at the point of enforcement.

We advise on formation, governance and shareholder arrangements, and we run transactions from first term sheet to closing.

Our financier leads reorganisation and insolvency matters, with more than twenty restructuring projects delivered across ten years of practice.

FAQ

Frequently asked

Do you advise on the transaction or only on the Dutch side of it?

We advise on the transaction as a whole from the Dutch side, and instruct local counsel where another jurisdiction is involved. You get one coordinated instruction, not several firms pointing at each other.

What happens in a restructuring?

The first question is not which structure to use but what is actually being solved: liquidity, a liability, a shareholder dispute, or an exit. Those call for different tools, and choosing the wrong one early is expensive to unwind.

How do you handle shareholder disputes?

Shareholder disputes are decided on documents — the articles, the shareholders’ agreement, and the history of decisions. We establish what the parties actually agreed before anyone argues about what they should have agreed.
